Could someone clarify this topic.

I am using Becker, and on page 5 title: Disclosure of Transaticons Involving Management and Principal Stockholders:

a- Disclosures are requied for persons who generally have direct or indirect ownership of more than 10 percent.

It says statements are filed at the following times:

1- At the time of registration.

2- When the person achieves 10 percent ownership.

3- If there has been a change in ownership.

My question is what statement? For who you need to file?

I am not using Becker to review, but Form 8-K is filed by an issuer when a material transaction/activity has been consummated. Hope this helps.

Thank you for your help. I get the idea from your explaination.

I need to ask you a question(musicamor04). How did you prepare for your tests. I am preparing for BEC and I know CPA tests are not easy. Do you google each subject for more information or you just read the book and the explaination for each question?

Hello:

I used Becker CPA review for my initial pass at BEC (back in 2010). I took the live classes and the final review and studied on my own. This time around, I am using rogerscpareview.com to prepare to take the test again. I am also doing nonstop MCQs until I sit for the exam.

Hello,

Thank you for your respond. Does live classes will help to understand the materials or it is just same as listening to the lectures? Do they go to the details? You know they ask about the concept.
