ms 500 just to know private placemenst will be what ???and they are allowed for 505,504,and 506 all???

For 504 exception to work there are following conditions:

1. Pvt placement, No advertising (no public solicitation)

2. Holding period of 2 yrs

3. <$1mil in 12 months

** There is no limitation on how many subscribers!
