In becker regulation D series 504 .. general solicitaion is not allowed if u see in book there is table showing differeneces in 504,505,506

and regarding the resell also they both conflict becker says no resell for 2 yrs wiley says no restrcition on sale

But wiley says that soliciation is allowed??? can some one confirm whats is right?

According to my Wiley book, solicitation is allowed (although restricted to "accredited investors"), but according to my worksheet provided by Yaeger, solicitation is not permitted for any of the three. 

Gotta love contradictions.

I will go with beckers, Rule D- issues are placed thru private placement, advertisements are not allowed, and generally, resell is not allowed and holding period is atleast 2 year for resale of securities

soo u will say that private placement is allowed for all ..  holding period 2 yrs is for all rt?
